EXECUTIVES

William J. Allard, President and Chief Executive Officer
Prior to joining Marquis Jet, Allard, 42, was the President and Chief Operating Officer of SFX Sports Group, where he directed all business development, acquisition strategy and overall corporate operations for the Sports Group's four core competencies: Event Management; Marketing; Talent Representation; and Television & Entertainment. Under Allard's direction, the Sports Group developed and produced internationally televised sporting events, managed and marketed hundreds of professional athletes, supported the sports marketing activities of numerous Fortune 500 corporations, and produced a wide range of sports-themed television series and feature films. Before joining SFX, Allard served as President and Chief Operating Officer of ProServ, Inc., an integrated sports marketing firm. Allard has appeared on The Sporting News "The Top 100 Most Powerful People in Sports" for three years, in 1999 was also named one of Sports Business Journal's "Forty Under 40", and was listed by the international paper The Guardian as one of the 50 most powerful people in the world of sports. He is a member of the Board of Directors of the Special Olympics and a member of the Babson College Athletic Board. Allard graduated with a MBA from the Harvard Business School in 1989 and received a BS from Babson College in 1983.

Henry Schachar, Chief Operating Officer
Henry Schachar joined Philipp Brothers Inc., the leading global trader of non-ferrous and precious metals, agricultural and energy related products, in 1977. He became president of the company in 1986 and remained in that position through 1991. He reported directly to the CEO of Salomon Brothers, the parent company of Philipp. Subsequently he held senior management positions with the ContiGroup, formerly Continental Grain Company and AIOC. Since 1996, he has been involved as a principal in iCentennial Ventures. Schachar graduated from Yeshiva University in 1975, and went on to graduate from Brooklyn Law School in 1977.

Ken Austin, Executive Vice President
Austin, 36, held the position of Senior Vice President of Sales for The Seagram Beverage Company. Reporting to the company president, this newly created position had complete responsibility for US sales, regional marketing and regional finance. Prior to joining Seagram, Austin held various positions of increasing responsibility for the E&J Gallo Winery and Price Waterhouse in the International Tax Group. Austin received his undergraduate degree from The Binghamton University School of Management and received an MBA from Fairleigh Dickinson University.

Carl Thorsberg, Chief Financial Officer
Carl Thorsberg has a solid track record of improving a company' s overall profitability. Previously, he served as Senior Vice President Finance and Administration for The Seagram Beverage Company. In this position, Thorsberg oversaw accounting, financial analysis and planning, management information systems and strategic planning. During his tenure the company engineered a significant turnaround increasing the company's profitability by $23 million in less than four years. From 1989 to 1997, Thorsberg held numerous senior management positions at Tropicana Products, Inc. ranging from Group Director of Sales Administration to Group Director of Financial Planning. During his tenure, Thorsberg improved efficiencies in the company's operations through the design and implementation of new management reporting and planning systems. Between 1986 and 1987, Thorsberg served as a Senior Corporate Auditor for Harcourt Brace Jovanovich. In this position he supervised operational and financial audits for the company's Publishing and Sea World. Thorsberg received his Master of Business Administration from Indiana University and his Bachelor of Business Administration from the University of Michigan. He is also a Certified Public Accountant. Thorsberg currently resides in Chappaqua, New York.

EUROPE

Robert Hersov, Chief Executive Officer Marquis Jet Europe
Hersov was the founder and CEO of Sportal, a company he started in 1998 that is Europe's leading interactive sports media company, and prior to that an executive director of ENIC plc, the UK-listed leisure and sports company. He was, until August 1997, Chief Executive Officer of Telepiu Srl, Italy's leading pay television company, based in Milano. He was also an executive director of the Pan-European pay television company Nethold BV, having previously been an executive director of Richemont SA, reporting to CEO Johann Rupert, and head of Morgan Stanley's European media investment banking team. From 1989 to 1991 he worked as a Business Development executive at News Corp in New York, reporting directly to Rupert Murdoch. In September 1999, Hersov co-founded the Antfactory, Europe's leading incubator/accelerators with over $200 million in capital and over 200 employees. In August 2001, he helped found a wireless technology startup, Etcetera Networks. Hersov was elected Chairman of the British Publishers Alliance (BIPA) in November 2000. Born in Johannesburg, South Africa in October 1960, Hersov graduated with an MBA from the Harvard Business School in 1989, having received a B.Bus.Sci (Hons) from the University of Cape Town in 1982. At 40, Rob is married with two children and currently lives in London.

FOUNDERS

Kenny Dichter, Founder
Kenny Dichter, 34, has been an entrepreneur in sports marketing, manufacturing and retail for over 15 years. Prior to founding Marquis Jet along with partner Jesse Itzler and Matthew Morchower President and CEO of Idea Sharks, a privately held venture capital firm, he co-founded Alphabet City, which was acquired by Robert Sillerman's SFX Entertainment in 1998. Alphabet City specializes in the production and distribution of sports compilation CDs that combine popular in-arena music with memorable "play by play" calls from team history. Alphabet City has released over 50 CDs and signed licensing deals with the NBA, NFL, NHL, MLB, and NCAA. As a student at University of Wisconsin-Madison, Dichter owned an on-campus retail specialty store called Bucky's. Working closely with then-Chancellor Donna Shalala and athletic department, Dichter created "Late Night With The Badgers," a pep rally hosted by nationally known sports personality Dick Vitale, to increase ticket sales and student participation. Dichter is also a Founder and a board member of Superstar EXP, a premium high-end corporate hospitality firm, and Varsity Entertainment, a full-spectrum entertainment production company that specializes in a vast array of services including program packaging, post-production, and original program development. Dichter has a BA in Sociology from University of Wisconsin-Madison, and is a member of the Executive Committee of the Jack Martin Fund at Mt. Sinai Hospital and a Board member of the Turn the Corner Foundation.

Jesse Itzler, Co-founder
Jesse Itzler is one of the original founders of Marquis Jet and has played a crucial role within the company's development. In 1995, Itzler and his partner Kenny Dichter, co founded Alphabet City, a sports marketing concern specializing in the production and sale of sports compilation CD's that combine popular in-arena songs with famous "play by play" calls from team history. After reaching the Billboard Hot 100 with his single, "Shake It," he changed NBA arenas when he wrote and performed "Go New York Go" for the Knicks in 1993. Coined "the premiere sports music producer in the world," Itzler has written, produced, and recorded original songs for over 50 professional sports teams and is credited for creating the EMMY AWARD WINNING "I love this Game" music campaign for the NBA. During his five year presence throughout the marketing and music industry, Itzler created national campaigns for Coca-Cola, Foot Locker and Sprite and was featured in both ESPN/Sports Illustrated's "Who's Who in Sports" and was selected to POV Magazines "40 Under 40" list. Itzler, along with Dichter is also a Founder and a board member of Superstar EXP, a premium high-end corporate hospitality firm, and Varsity Entertainment, a full-spectrum entertainment production company that specializes in a vast array of services including program packaging, post-production, and original program development. Itzler graduated with BA from American University.

BOARD OF DIRECTORS, NON-EXECUTIVE

Mark C. Demetree, Chairman, Non-Executive
Mark Demetree is Chairman and CEO of US Salt Holdings, LLC, the fourth largest salt producer in the United States, and the largest salt producer in the United Kingdom, with annual revenues of $180 million. From 1993 to 1997, he was president of North American Salt Company, the third largest salt producer in North America, with annual revenues of $250 million. Demetree began his career in real estate development and small business acquisitions. In 1983, he became president of Demetree Brothers, Inc., an investment group involved in real estate investment, venture capital investments and corporate acquisitions. In 1989, he joined D. George Harris & Associates, Inc. (DGHA) as a senior vice president involved in acquisitions of a series of inorganic chemical companies which formed Harris Chemical Group. In 1991, Demetree assumed the position of president of Trona Railway Company, a shortline railroad of North American Chemical Company, a Harris subsidiary. A graduate of Georgia Tech with a B.S. in Industrial Management, Demetree received his M.B.A. from Harvard Business School and resides in Leawood, Kansas with his wife, Christina, and their three children, Alexander, Anna and Andrew.

Jeff Bernstein
Bernstein is a Private Investor. Previously, he managed the New Media fund for the hedge fund group Galleon Management in New York. Prior to Galleon, Bernstein spent ten years at Goldman Sachs, most recently as a Managing Director and responsible for the Firm's Technology Equity Sales Group worldwide until1999. From 1985-1989, Bernstein served in various capacities for Irving Bank Corp. and its parent The Bank of New York. In addition to his investing ventures, Bernstein serves on the Board of Advisors of Georgetown University's Masters Program in Foreign Service, and is a Director of Jungle Media Group. He has a B.A., from Cornell University and an M.S from Georgetown University.

James C. Cook
James Cook is a Partner of Wachovia Capital Partners and a Senior Vice President of Wachovia Corporation. Wachovia Capital Partners is the private equity investment affiliate of Wachovia Corporation and currently manages an approximate $2.5 billion investment portfolio. Prior to joining Wachovia Capital Partners in 1989, Cook was an Assistant Vice President at The Bank of New York where he worked from 1982-1987 and a Summer Associate in the Corporate Finance Department of Kidder, Peabody & Co. Incorporated in New York in 1988. He currently serves on the Board of Directors of US Salt Holdings, WorldStrides, Verdugt Corp., HOB Entertainment, COMSYS, and several other privately held companies. Cook graduated from the University of Virginia in 1982 where he earned a Bachelor of Science Degree in Commerce with a concentration in Finance. In 1989, Cook earned a Master of Business Administration Degree from the Harvard Graduate School of Business Administration.

David Moore
David Moore is Chairman of Sonostar Ventures, LLC, a private equity/venture capital firm founded in March 1997, where he directs and actively manages the firm's investments, focusing on operating and entrepreneurial businesses. As part of these activities, Moore was Chairman of the Board of Paradigm Direct LLC, a direct-marketing services company, which he helped grow from a start-up to a $250 million revenue, 200+ employee organization that represents clients including AT&T Wireless, Qwest Telecommunications, DirecTV, and Prudential Insurance, among others. In addition to his responsibilities at Sonostar, Moore is Chairman of Garden State Brickface, Windows & Siding, one of the largest commercial and residential remodeling organizations in the United States and recently stepped down as Chairman of the Board of U.S. Home Systems, Inc., the country's largest kitchen cabinet refacing company. Over the past seven years Moore has been involved with a wide variety of transactions in the public and private markets as principal, Chairman, CEO, investor and director. Moore received a BA in Economics, magna cum laude, from Amherst College in 1978 and an MBA from Harvard University in 1980. He resides in Manhattan with his wife Lori and their two children, Nicholas (11) and Jami (9).
